Ulmer & Berne represents a wide-variety of health care clients, including hospitals, health systems, retail pharmacies, single and multi-specialty physician groups, emergency and hospitalist staffing companies, long-term care providers, including skilled nursing and assisted living facility owners and operators, billing companies, preferred provider organizations, management service organizations, physician hospital organizations, clinics, nursing homes, pharmaceutical and durable medical equipment suppliers, and other entities in the health care field.

We have substantial experience in counseling our clients in health care financing, health care investments, mergers and acquisitions of provider entities, issues related to tax-exemption, corporate governance, physician and executive compensation, third-party payor contracts and reimbursement, and managed care contracts. Our advice to clients is grounded on our combined knowledge and experience with business law and with the complex regulatory environment governing health care.

Business counseling in the health care field requires an in-depth understanding of the complexities of self-referral, anti-kickback, reimbursement, licensure, and privacy laws among others. Our lawyers are able to advise clients on these complex issues with clear explanation and guidance.

Aside from counseling on business transactions, Ulmer attorneys have counseled health care clients on environmental matters, on restraint of trade issues arising out of managed care contracts, on intellectual property issues, and on governmental investigation issues. We have also counseled a variety of providers on the regulatory impact of investing in ambulatory surgery centers, emergency room staffing entities, independent diagnostic testing facilities, and other imaging facilities; in acquiring or merging with other providers; in forming hospital-physician joint ventures or other joint ventures; in financing new acquisitions and restructuring existing businesses; and in assessing various employment arrangements, stockholder/member arrangements, and corporate governance issues.
