Ulmer Represents Woolpert in Successful Recapitalization Deal

Ulmer is pleased to announce that it recently represented Woolpert Inc., one of the nation’s most prominent architectural, engineering and geospatial firms, in a minority recapitalization with Long Point Capital. The complex transaction comes at an ideal time for Woolpert as the firm develops new strategy and investment opportunities and seeks to pursue add-on acquisitions.

In representing Woolpert in this critical matter, Ulmer assisted in analyzing offers from several potential business partners. Ulmer utilized the strength of a cross-practice legal team, which included Business Law Partners Scott BosterMarie Kuban, and Bradley Kaplan. Ulmer Employee Benefits Chair, Patricia Shlonsky, provided the transaction’s benefits-related work, and John Goheen, Chair of the firm’s Income Tax Group, handled the deal’s tax-related elements.

Scott Boster, who led the transaction said, “It was a real team effort by many Ulmer attorneys. Due to the complex nature of the transaction, it required the combined expertise of our Cincinnati and Cleveland offices. Woolpert was great to work with and they were extremely pleased by the quality and value that Ulmer brought to the transaction.”

From deals involving closely held businesses to national, publicly traded companies, the attorneys at Ulmer craft innovative, creative and cutting-edge strategic transactional solutions for acquirers, acquisition targets, private equity sponsors, investment banks, boards, and special committees. Attorneys in the firm’s key practice areas – M&A, tax, securities, banking and finance, employee benefits/ERISA, labor and employment, environmental, real estate, and intellectual property – use a multidisciplinary approach to helping clients find solutions and achieve their objectives.
