Ulmer & Berne announces that partner Frances Floriano Goins has been appointed Chair of the Director and Officer Liability Committee of the Business Law Section of the American Bar Association (ABA) for a three-year term.
ABA Sections and Committees are specialty groups that focus on a unique area of law or business, allowing for more in-depth examination of issues, regulations, and national trends. The mission of the Director and Officer Liability Committee is to enhance the understanding of the risks to officers and directors in for-profit companies and to provide tools to assist counsel in managing such risks. The Committee monitors developments in this arena, including court decisions, government actions, exculpatory provisions, D&O insurance and indemnification, and, if appropriate, suggests changes in law or regulation. Through programs, reports and publications, including the preparation of sample documents, the Committee also provides updates and materials on legal developments in director and officer liability.
Co-Chair of Ulmer Berne’s Financial Services and Securities Litigation and Data Privacy and Information Security Practice Groups, Ms. Goins brings extensive experience as a business litigator to her new position in the ABA. She focuses her practice on resolving complex business disputes for public and private companies, including matters involving securities, corporate governance, shareholder rights, cybersecurity, financial services, and consumer law. Ms. Goins has managed dozens of takeover and proxy contests and has conducted numerous internal corporate and special litigation investigations. She also counsels businesses on compliance issues including anti-bribery, securities, data privacy, ethics, and governance best practices.
In addition to her involvement with the ABA, Ms. Goins is an active member of the Ohio State Bar Association and is a founding member of the Ohio Women’s Bar Association and the Federal Court Panel of Alternative Dispute Resolution Neutrals for the Northern District of Ohio. Ms. Goins is also deeply involved in the arts. She serves as Chair of the Governing Counsel for the Art Song Festival at Baldwin Wallace University and has served as a Trustee of Opera Cleveland and Lyric Opera Cleveland.
Ms. Goins was ranked as one of Ohio’s “Leaders in Their Field” in General Commercial Litigation by Chambers USA: America’s Leading Lawyers for Business in 2015. She was recognized by Benchmark Litigation as one of the “Top 250 Women in Litigation” in the U.S. and named a “State Litigation Star” by the same publication in 2015. Ms. Goins was ranked in Cleveland’s “25 Top Women Lawyers” and Ohio’s “50 Top Women Lawyers” by Ohio Super Lawyers in 2015. She has been named to the Ohio Super Lawyers list for 12 consecutive years. Ms. Goins earned her Bachelor and Masters of Music from the Cleveland Institute of Music and her J.D. from Case Western Reserve University School of Law.
