January 8, 2020 – Ulmer & Berne LLP is pleased to announce key leadership changes across the firm’s Business and Litigation Departments. Ulmer named Howard Groedel as Chair of the Business Department, Jeffrey S. Dunlap as Vice Chair of the Litigation Department, David D. Black as Vice Chair of the Business Department, Marie C. Kuban and Douglas K. Sesnowitz as Co-Group Leaders of the Business Law Practice Group, Lori Pittman Haas as Group Leader of the Real Estate Practice Group, Paul R. Harris as Group Leader of the Business Litigation Practice Group, and Paul J. (PJ) Cosgrove and John R. Ipsaro as Co-Group Leaders of the Product Liability Practice Group.

Groedel, who previously led the firm’s Business Law Practice Group, now oversees the firm’s Business Department. He is a veteran securities regulatory lawyer with broad experience advising clients including institutional investors, broker-dealers and investment advisors, private equity and hedge funds, and public companies on a wide range of securities, transactional, investment, and governance matters. “Howard’s practice reflects the strengths and sophistication of our firm’s Business Department,” added Kadish. “As a respected leader within the firm, we are excited to have Howard assume this new role.”
Dunlap, former Co-Group Leader of the Business Litigation Practice Group, now serves as Vice Chair of the Litigation Department. With more than 30 years of experience representing businesses in a wide range of commercial and employment disputes, Dunlap’s practice involves complex business, securities, employment discrimination, and unfair competition matters. He has successfully tried many cases before juries, judges, and arbitrators, and he represents clients in complex litigation matters throughout the United States. “We are lucky to have Jeff help lead our award-winning Litigation Department,” said Kadish.
Black, Co-Group Leader of the Banking & Commercial Finance Practice Group, will now also serve as Vice Chair of the Business Department. In this position, he will be responsible for strategic client relationship development and will manage a variety of client service initiatives. With a broad range of experience serving as outside general counsel for a number of businesses, Black focuses his practice on closely held corporations with emphasis on governance, transactions, and finance.
Additional leadership changes within Ulmer’s Business Department include Kuban and Sesnowitz, both veteran business lawyers, who now lead the Business Law Practice Group. Kuban has broad experience representing public and private companies and private equity firms in structuring and negotiating corporate acquisitions, divestitures, mergers, and joint ventures. She also has extensive experience in representing financial institutions, private lenders, and borrowers on asset-based, cash flow, acquisition, and other commercial financing transactions.
Sesnowitz represents companies in a wide range of industries with respect to complex corporate, commercial, and financing matters, including mergers and acquisitions, divestitures, and joint ventures. He serves as general counsel and advisor to many closely held and middle market companies in the manufacturing, distribution, retail, and service industries. He also represents financial institutions and borrowers in financing transactions.
Group Leader of the Real Estate Practice Group, Haas leads the practice in serving Ulmer’s real estate clients across the country. She represents buyers and sellers in the acquisition, disposition, and development of commercial property. She also represents commercial property owners and tenants in eminent domain cases, financing of development projects utilizing Historic Tax Credits, New Markets Tax Credits, construction financing, and conventional financing, and commercial leasing (retail, office, and industrial/warehouse).
Additional leadership transitions within Ulmer’s nationally recognized Litigation Department also bolster the firm’s team of accomplished litigators. “We are thrilled to have exceptional leaders within our department who help guide our highly skilled attorneys as they represent clients nationwide in complex litigation and arbitration matters,” said Michael N. Harris now leads the Business Litigation Practice Group as Group Leader. He focuses his practice on litigating a wide range of business and employment matters representing various types and sizes of businesses in litigation, as well as counseling clients on practices to avoid litigation. As trial counsel, he has obtained both plaintiff and defense verdicts, and he has significant appellate experience, including making successful oral arguments before various Ohio Courts of Appeals.
Cosgrove and Ipsaro are Co-Group Leaders of the firm’s Product Liability Practice Group. Cosgrove represents medical device and pharmaceutical manufacturers in pattern litigation, mass torts, multidistrict litigation, and “one-off” product liability suits, serving as national coordinating and trial counsel in both large, complex matters and individual cases. He has defended toxic and environmental exposure suits and also defends clients in alleged class actions and complex business litigation.
Ipsaro has dedicated his practice to defending pharmaceutical companies in product liability and other mass tort claims, and is a well-rounded pharmaceutical litigator with a wealth of experience in virtually every aspect of drug litigation. Ipsaro has managed and handled virtually every aspect of pharmaceutical litigation, and he defends clients in a variety of complex litigation matters across the country serving as both lead and liaison counsel.
