Sachin V. Java

Associate

Sachin focuses his practice on corporate law matters including mergers and acquisitions, banking and commercial finance, and general business counseling. He assists clients in structuring and negotiating joint ventures, acquisitions, and divestitures, and advises on corporate formation and governance. In addition, he often represents borrowers on acquisition financing, refinancing, and asset-based, cash flow, agented, and syndicated loan transactions. With his extensive prior health care operational background, Sachin regularly works with clients in the industry, including long-term care providers, behavioral health facilities, and other health care entities. Prior to joining the legal profession, Sachin served in several clinical research and health care administration roles at the Cleveland Clinic and as an engineer for DePuy Orthopaedics, a Johnson & Johnson Company. Recognized for his professional achievements, Sachin has been selected as an ABA Business Law Fellow, and named to the Super Lawyers Rising Stars, Best Lawyers: Ones to Watch in America, Lawyers of Color Hot List, and Crain’s Cleveland Business 40 Under Forty lists.

REPRESENTATIVE EXPERIENCE

  • Assists with a wide variety of corporate law matters, including mergers and acquisitions, compliance, commercial contract negotiation, and general business matters.
  • Strategizes potential business structures and joint venture arrangements for health care providers.
  • Representation of clients in negotiating, documenting, and closing senior and subordinated equity and debt financing transactions, including acquisition financing and refinancing transactions.
  • Advises owners and operators of behavioral health, psychiatric hospital, pharmacy, skilled nursing facilities, and assisted living facilities in the purchase, sale, and financing of health care facilities, including drafting and negotiating transactional documents and advising clients on structuring and closing such transactions.
  • Assists clients with regulatory requirements and filings related to change of ownership and change of operator transactions for skilled nursing facilities and other long-term care providers.
