Stan has experience in the establishment, qualification, and maintenance of all types of employee benefit plans. He has assisted with advising clients on employee benefit compliance issues, privacy and data security issues under HIPAA, issues affecting medical and other welfare benefits, benefit issues associated with mergers and acquisitions, executive compensation issues, issues related to individual retirement accounts, and ERISA issues generally.

Stan also has experience in corporate and general business matters, including the negotiation and documentation of the sale and purchase of businesses.

REPRESENTATIVE EXPERIENCE

  • Establishment and consultation regarding legal compliance of executive compensation and incentive plans, including 409A compliance.
  • Establishment, qualification, and consultation regarding all types of employee benefit plans, including 401(k), employee stock ownership plans, defined benefit plans, and nonqualified deferred compensation.
  • Legal counsel on HIPAA privacy and data security compliance.
  • Legal counsel on issues affecting medical and other welfare benefits.
  • Assists with counseling clients regarding benefits issues in mergers and acquisitions.
  • Legal counsel on issues affecting individual retirement accounts.
  • Assists clients in understanding their obligations and avoiding costly penalties through guidance and interpretation of the Patient Protection and Affordable Care Act.
  • Representation of a variety of corporate and other entities in formation, general business, and commercial matters.
  • Experience in the representation of banks and insurance providers with regards to state and federal regulatory compliance.
