Michael focuses his practice on the representation of public and private companies and private equity clients in a variety of corporate law matters, including mergers and acquisitions, commercial finance, and general corporate matters. A certified public accountant (inactive), Michael’s legal and tax experience gives him unique insight in planning and implementing complex business transactions with an eye toward potential tax issues. He also works with clients in the health care industry including skilled nursing and assisted living facility owners and operators.

REPRESENTATIVE EXPERIENCE
- Provides counsel on all aspects of M&A and debt and equity financing transactions, including conducting due diligence and drafting and negotiating transaction documents.
- Assists with a range of corporate transactional matters including entity structure, contract negotiation and drafting, and corporate governance.
- Advises clients on the tax aspects of corporate acquisitions, dispositions, tax free reorganizations and restructurings, Section 280G reporting disclosures, and tax-exempt organization matters.
- Represents skilled nursing and assisted living facility owners and operators in closing purchase, sale, financing, and private placement transactions for long-term care facilities.
