Maxwell Berg


Max represents clients on a variety of corporate law matters, including venture capital equity, partnership agreements, contracts, and general corporate law. He also handles trademark clearance, prosecution, and portfolio maintenance for brand owners in multiple industries. He provides practical legal and business counseling on IT transactions and creative approaches to protecting and advancing his clients’ interests.

His experience includes licensing and cloud computing transactions, private equity transactions, and mergers and acquisitions and helps clients achieve business objectives by reviewing, negotiating, and drafting IT contracts. Max is fluent in Italian.

  • Experience handling rounds of venture capital equity and debt diligence and financing; drafting version-controlled subscriptions, service, licensing, employment, usage, and partnership agreements; and negotiating contract terms with customers, including Fortune 50 companies.
  • Counsels clients on best practices for open source software usage and management as well as prosecuting various trademarks.
  • Builds and refines structures around operational cores of the business, including sales operations (lead generation, deal tracking, sales cycles, and overall sales metrics) and organizational operations.
  • Experience serving emerging businesses and startups in the Cincinnati area providing general legal audits to ensure new businesses are operating in a fundamentally safe and efficient manner, negotiation counsel and assistance, contract drafting, and review.
  • Represents buyers and sellers in M&A transactions in a variety of industries and is skilled in due diligence preparation, disclosure schedule drafting, and closing procedures and process.
