Joe Brammer

Associate

Joe is an attorney in Ulmer’s Venture Law Practice Group who focuses his practice on the corporate and transactional needs of startups, emerging companies, and established businesses in a wide array of legal areas. Joe’s previous experience as a commercial lender provided him with a keen understanding of the financial transactions that entrepreneurs face as they seek to grow their businesses. He has experience working on seed stage and priced round financings for venture companies as well as assisting with fund formation and transactional work for investment funds and angel investor groups. As a startup founder, commercial lender, and transactional attorney, Joe has the skills to analyze and provide thoughtful counsel on all general corporate matters as well, including entity structure, contract drafting and negotiation, debt and equity financing, and corporate governance. Prior to his career in the law and banking, Joe served in the United States Marine Corps, including two deployments to Iraq in support of Operation Iraqi Freedom.

REPRESENTATIVE EXPERIENCE

  • Assists with private offering deals for startups, including drafting operating agreements, shareholder agreements, and subscription agreements.
  • Represents commercial lender and private equity fund clients in subscription credit and net-asset-value financing transactions.
  • Reviews and drafts corporate enforceability and UCC-perfection opinion letters delivered in conjunction with subscription credit facilities.
  • Prepares accredited investor questionnaires, term sheets, and Form D filings.
  • Analyzes private equity fund subscription documents and prepares summaries ensuring clients’ security interests are enforceable.
  • Assists with commercial transactions, including drafting cross-purchase, asset purchase, loan, supply, license, trademark assignment, broker-shipper, employment, and independent contractor agreements.
  • Drafts and assists with structuring transaction documents in a variety of complex business transactions.
  • Performs due diligence and corporate analysis on all types of entity structures.
  • Conducts legal research and drafts memoranda analyzing a broad range of complex legal issues.
