Daniel A. Gottesman

Danny is Co-Group Leader of Ulmer & Berne’s Health Care Practice Group. He is an accomplished corporate attorney who applies his extensive mergers and acquisitions experience to advise clients on a variety of corporate, real estate, and health care transactional matters. Specifically, Danny represents private equity funds, family offices, and long-term care investors and providers in structuring, negotiating, documenting, and closing complex M&A transactions, real estate acquisitions and divestitures, joint ventures, leases, and private placements. He also assists owners, operators, and managers of skilled nursing and assisted living facilities across the United States.

Using his diverse background in mergers and acquisitions, real estate, and health care, Danny assists his clients with the full range of complex issues that arise during the course of a transaction, including navigating regulatory requirements; forming investment vehicles; negotiating real estate purchase agreements and operations transfer agreements; and structuring and closing debt and equity financing transactions. Danny works closely with his clients to address each transaction’s unique challenges to ensure that each client achieves its business objectives.

Experience

REPRESENTATIVE EXPERIENCE

  • Represents and provides valuable counsel to owners, operators, and managers in complex, multimillion dollar acquisitions and divestitures of skilled nursing and assisted living facilities throughout the United States.
  • Serves as lead negotiator for a variety of agreements, including but not limited to purchase contracts, operations transfer agreements, commercial leases, management agreements, and complex operating and limited partnership agreements.
  • Structures all aspects of acquisitions, including assisting clients with equity and deal structuring.
  • Represents a private equity backed company handling roll-up acquisitions in service industries.
  • Represents a number of clients as outside general counsel handling a wide-range of legal matters including formation, equity raises, mergers and acquisitions, leases, and general business and commercial matters.
  • Provides advice to companies with respect to federal and state securities issues and compliance.
  • Drafts, reviews, and negotiates commercial leases on behalf of tenants.
  • Represents buyers and sellers in the acquisition and sale of commercial properties.
  • Serves as a trustee for multiple family trusts.
