Fuxing (Amber) Sai

Staff Attorney

Fuxing (pr: Foo-sing) (Amber) is an attorney in Ulmer’s Venture Law Practice Group, and focuses her practice on the corporate and transactional needs of companies of all stages. She has experience forming a variety of types of entities, including entity conversions and restructuring. Amber has also worked on different types of fundraising transactions, helping secure capital for venture companies. She has worked on a variety of technology and services related agreements and contracts, including addressing data privacy and cybersecurity. Amber has also assisted clients with international transactions and is fluent in Mandarin Chinese.

  • Advises on a range of corporate transactional matters including corporate formation, entity structure, and governance.
  • Assists with private offering deals for startups, including drafting operating agreements, shareholder agreements, and subscription agreements.
  • Prepares accredited investor questionnaires, term sheets, and Form D filings.
  • Assists with commercial transactions, including drafting cross-purchase, asset purchase, loan, supply, license, trademark assignment, broker-shipper, employment, and independent contractor agreements.
  • Prepares partnership income tax return filings for Qualified Opportunity Fund investors.
  • Conducts legal research and drafts memoranda analyzing a broad range of complex legal issues.
