Elchanan G. (Chuni) Stern


Elchanan focuses his practice on the representation of clients operating in the health care industry and assists with a wide variety of corporate transactional matters, including mergers and acquisitions, equity and debt financing, entity structure, contract drafting, and corporate governance. A former Assistant Prosecutor, he also has a strong understanding of the litigation process and has experience protecting the interests of health care clients involved in commercial litigation.

  • Represents clients with respect to entity formation, general business, and other commercial matters.
  • Assists with all aspects of mergers and acquisitions and equity and debt financing transactions, including conducting due diligence, preparation of disclosure schedules, and drafting transaction documents.
  • Assists skilled nursing and assisted living facility owners and operators in the purchase, sale, and financing (debt and equity) of long-term care facilities.
  • Conducts legal research and drafts memoranda analyzing a broad range of complex legal issues.
  • Previously served as a Judicial Extern to Judge Dan Aaron Polster of the U.S. District Court for the Northern District of Ohio.
