Scott represents businesses and the individual entrepreneurs, investors, and owners whose energy and intellect drive those businesses.  A business lawyer for more than 30 years, Scott has built his practice to be an asset to the clients he serves. A natural competitor with a sharp eye for detail and the proven ability to succeed in high-pressure environments, Scott  thrives on merger and acquisition transactions. He routinely assists clients with a range of corporate transactions, negotiating and drafting documents for stock and asset transactions for the sale and purchase of businesses. He also guides businesses and individuals through incorporation, limited liability company formations, dissolutions, reorganizations, and implementation strategies. Drawing from three decades of experience as a trusted advisor to businesses operating in a range of industries, Scott offers clients straightforward, practical legal solutions that support growth, optimize opportunity, and minimize the impact of federal and state taxes.

Scott also offers estate planning and counsel on a variety of trust instruments. He probates and administers estates in both Ohio and Kentucky. Deeply involved in the business communities of the greater Southwest Ohio region and beyond, Scott is passionate about building strong, lasting relationships with clients, which include, among others, itelligence, Inc., The Miami Corporation, Molded Devices, Inc., and NFP Corporate Services (OH), Inc.

Experience

REPRESENTATIVE EXPERIENCE

  • Negotiate and draft documents for the sales and purchases of businesses for both stock and asset transactions.
  • Act as “general counsel” for numerous closely-held and family-owned businesses.
  • Prepare incorporations, limited liability company formations, dissolutions, reorganizations, and the implementation of ideas to minimize federal and state taxes.
  • Consult regarding estate planning issues and draft estate planning documents including wills, A-B trusts, irrevocable life insurance trusts, family limited partnerships, charitable remainder trusts, special needs trusts, and powers of attorney.
  • Probate and administer estates in Ohio and Kentucky including preparation of estate tax returns and negotiate settlements with the IRS.
