Andrew M. Banks


Andrew focuses his practice on mergers and acquisitions for public and private companies, private equity and investment funds, and emerging businesses and startup companies as well as advising investment fund sponsors in fundraising and formation matters. Andrew acts as outside general counsel advising clients on general corporate matters.

Before practicing law, Andrew spent several years in finance and business at an international chemical company and a large European financial institution. He also served as in-house counsel to a New York-based venture capital fund.

  • Advises private equity and investment fund clients in connection with portfolio company acquisitions and structuring.
  • Negotiates and drafts operating agreements, joint venture agreements, investor rights agreements, registration rights agreements, subscription agreements, equity commitment agreements, and related investment documents.
  • Advises public and private companies on domestic and international mergers, acquisitions, stock purchases, asset purchases, spin-offs, tender offers, and proxy solicitations.
  • Advises clients in the sports and entertainment industry, representing investors and investor groups, players, media companies, and league bodies in acquisitions, minority investments, licensing deals, sponsorship arrangements, and league matters.
  • Prepares and negotiates limited partnership agreements, subscription documents, private placement memoranda, term sheets, investment management agreements, side letters and related corporate documents, and SEC filings.
  • Drafts and negotiates employment agreements, executive compensation agreements and option plan documents, and consulting and service agreements.
  • Advises on corporate governance matters and drafts board documents including resolutions, minutes, and other corporate organizational documents.
  • Previously worked as an associate of an international financial institution in the Netherlands, where he advised senior executives regarding regulatory compliance issues.

  • Maintains an active pro bono practice counseling mature and newly formed nonprofits in mergers, business combinations, formation, and general corporate matters. He also represented victims of human trafficking in civil litigation.
