Alan S. Henderson

Associate

Alan assists clients in all aspects of real estate matters and focuses his practice on the acquisition, disposition, and development of commercial property. He has experience with a wide range of commercial real estate transactions, and represents buyers and sellers in the purchase, sale, and development of a variety of properties, including mixed-use, office, industrial, warehouse, multifamily, and portfolio transactions. Prior to joining Ulmer, Alan worked for two oil and gas title firms, and his experience helps him confront and resolve legal issues involving mineral development and land use. He uses his unique background to help clients address complex real estate and environmental issues and help them achieve their goals.

Experience

REPRESENTATIVE EXPERIENCE

  • Drafts and negotiates a wide range of documents including purchase and sale agreements, easements, declarations of covenants and restrictions, financing agreements, and other instruments involving real estate.
  • Counsels and assists clients on 711 transfer processes, lot consolidations, lot splits, and survey matters.
  • Prepares and files pleadings and represents clients in proceedings involving quiet title to real estate actions and lender real estate foreclosures.
  • Extensive experience advising energy company clients regarding their drilling operations in the Ohio Utica Shale play.
  • Prepares real property valuation complaints and assists in oral arguments before Boards of Revision.
  • Represents clients in a broad range of matters involving oil and gas, coal, gold, and other minerals, such as purchase/sale, leasing, right of ways, Bureau of Land Management mining claims, title opinions, due diligence, permitting, and regulatory compliance.
  • Analyzes and interprets instruments of record, including deeds, probate materials, oil and gas leases, assignment of leases, and other contractual agreements, to advise on title implications.
  • Served as a judicial extern for the Honorable William O. Bertelsman of the U.S. District Court for the Eastern District of Kentucky.
