Jennifer is Co-Group Leader of Ulmer & Berne’s Health Care Practice Group. Her practice is focused on a range of interconnected legal disciplines, including health care, mergers and acquisitions, and a variety of corporate law matters. Jennifer puts the focus squarely on her clients, relying on years of experience and a willingness to understand the strategic goals of the individuals and businesses she serves to find creative legal solutions that are practical and impactful. Clients in the health care, automotive, media, and other industries routinely put their trust in Jennifer because of her dedication to client service and expertise in niche areas of the law, such as the friendly physician practice model and the Hart-Scott-Rodino Antitrust Act pre-merger notification process.

REPRESENTATIVE EXPERIENCE

  • Considerable experience in the representation of public and privately held corporations and other entities in formations, mergers, acquisitions, securities offerings, general business and commercial law matters.
  • Experienced in the negotiation and documentation of the sale and purchase of businesses, both through asset purchase and share purchase agreements.
  • Experienced in the counseling of start-up, emerging and closely held businesses, including preparation and review of business plans, organization and strategic planning.
  • Experienced in the negotiation and drafting of employment, non-competitions, consulting, shareholder/close corporation, limited liability, distributorship and other agreements.
  • Experienced in the negotiation and documentation of commercial loans, representing both borrowers and lenders.
  • Experienced in federal and state securities issues and compliance.
  • Involved in the preparation of Hart-Scott-Rodino Antitrust Act pre-merger notification filings.
