Abe focuses his practice on a variety of corporate law matters, including joint ventures, mergers and acquisitions, equity and debt financing transactions, alternative investments, real estate transactions, and other general transactional matters. He provides strategic counsel to corporate clients in the health care industry, including skilled nursing and assisted living facility owners and operators.

REPRESENTATIVE EXPERIENCE

  • Represents private and public companies in connection with complex corporate and real estate transactions including acquisitions and sales of real properties, joint ventures and equity financing, commercial leases, and debt financing.
  • Drafts, reviews, and negotiates complex joint venture agreements, property management agreements, cross-indemnity agreements, subordination agreements, subscription agreements, and other primary and ancillary agreements evidencing equity financing arrangements.
  • Advises clients on creating tax efficient structures for complex real estate acquisitions and corporate governance matters including operating agreements, shareholder agreements, partnership agreements, employment agreements, formation documents, and general business and service contracts.
  • Represents private and public companies in connection with corporate transactions including stock and asset acquisitions, mergers, joint ventures, and other business reorganizations.
  • Drafts, reviews, and negotiates loan agreements, credit agreements, security agreements, mortgages, promissory notes, and other primary and ancillary agreements evidencing debt financing arrangements.
  • Represents clients as outside general counsel handling a wide range of legal matters including formation, mergers and acquisitions, leases, and general business and commercial matters.
