Stan represents a variety of corporate and other entities in formation, general business and commercial matters representing both large and small clients. He has been involved in the negotiation and documentation of the sale and purchase of businesses through both asset purchase and stock purchase agreements.
Stan has experience in employee benefit and executive compensation issues and compliance. He has assisted with reviewing employee benefit plans and the applicability of Employee Retirement Income Security Act (ERISA) and related regulations. Stan also has prepared comprehensive research materials on Section 125 plans, Section 409A, Medicare benefits, individual retirement accounts and remedies available under ERISA to a plan fiduciary in situations involving a breach by an employee of certain obligations under an employee benefit plan.
He also has experience in intellectual property matters and transactions, international law issues, regulatory compliance, real estate acquisitions and sales, and lending and finance transactions. Stan has formal mathematics training in a number of software-related areas including queuing theory, optimization techniques, circuit and graph theory, algorithmic and statistical data analysis methods, and search and network algorithms.
