Corporate Restructuring & Creditors' Rights

Every active and dynamic business will one day find itself faced with some form of financial distress whether as lender or borrower; customer or vendor; landlord or tenant. Ulmer & Berne’s corporate restructuring and creditors’ rights lawyers work regularly with clients facing each situation.

We understand that clients facing financial challenges are best served by our effective and efficient solutions to their business needs. We draw upon our collective expertise and knowledge to provide a wide variety of legal options to clients in a wide variety of industries.

Members of the corporate restructuring and creditors’ rights group have served clients in industries ranging from automotive to retail; real estate to manufacturing; and banking to property management. We serve our clients in restructuring matters, out of-court work-outs, bankruptcies, receiverships, foreclosures and other insolvency proceedings, and use both judicial and non-judicial means to help our clients achieve their restructuring goals.

Significant business opportunities can be present in bankruptcy and other insolvency proceedings. When these opportunities arise, members of our group assist clients in several ways, including acquiring and selling distressed business assets through secured party sales and sales under Section 363 of the Bankruptcy Code.

Each core member of the corporate restructuring and creditors’ rights group is an accomplished bankruptcy practitioner. Partners Richard G. Hardy and Michael S. Tucker are board certified in business bankruptcy law by the American Board of Certification. Primary group members have represented debtors, creditors, creditors’ committees, lenders and trustees, and have appeared in every bankruptcy court in Ohio as well as bankruptcy courts in Delaware, New York, Illinois, Michigan, Pennsylvania, Indiana, Kentucky, Iowa, West Virginia, Nebraska, Texas, California, and the U.S. Virgin Islands. Primary group members have also handled appeals of bankruptcy matters in appellate and federal district courts throughout the country.

We recognize that financial restructurings and insolvency matters can give rise to many complicated issues that impact our clients’ strategies and decisions. In matters that fall outside of the group’s main area of expertise, the Firm is able to provide a full range of services by calling upon approximately 180 attorneys with expertise in all areas of law.
